Vendor Terms & Conditions
The terms that govern participation as a brand, showroom or exhibitor at any Edit Events show.

1. Agreement and Acceptance
These Vendor Exhibitor Terms & Conditions (“Terms”) govern the participation of any brand, company, designer, showroom, agency, or individual (“Exhibitor,” “you,” or “your”) as a vendor at any trade show, market, exhibition, or event (each, an “Event”) produced by Edit Events LLC and its affiliated brands, including Edit (such as Palm Beach Edit, Charleston Edit, and Nashville Edit) and Coast Collective (collectively, “Edit Events,” “we,” “us,” or “our”).
By submitting an application, signing an order, paying any invoice or deposit, or otherwise participating as a vendor in any Event, you agree to be bound by these Terms, together with any Event-specific exhibitor packet, order form, floor plan, schedule, or other written materials we provide (collectively, the “Agreement”). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case “Exhibitor” refers to that entity.
These Terms supplement, and do not replace, the rules and requirements of the venue at which the Event is held (the “Venue”). To the extent there is a direct conflict, the more restrictive provision controls.
2. Application and Acceptance
Participation in any Event is by application and is subject to acceptance by Edit Events in our sole discretion. We curate our Events to maintain a consistent quality, mix, and brand experience. We may, at our discretion, decline any application, limit the number of brands, categories, or booths offered, and require previously accepted Exhibitors to reapply for subsequent Events.
Acceptance is confirmed only by a written confirmation from Edit Events (including email confirmation). Submitting an application, paying a deposit, or being invited to apply does not by itself constitute acceptance.
3. Booth Allocation, Setup, and Layout
3.1 Allocation
Edit Events assigns booth, showroom, table, or other display space (collectively, “Space”) in our sole discretion, taking into account factors such as Exhibitor category, brand fit, sponsorship level, application timing, payment status, prior participation, and overall show layout. Stated preferences are not guaranteed.
3.2 Modifications
Edit Events reserves the right to relocate, resize, reconfigure, or modify any Space, the overall floor plan, the Event schedule, or other Event logistics at any time as we deem reasonably necessary, including in response to Venue requirements, safety considerations, or operational needs. We will use reasonable efforts to provide comparable Space if relocation becomes necessary.
3.3 Display Standards
All displays, signage, lighting, fixtures, samples, and other materials must remain within the boundaries of the assigned Space, must not obstruct neighboring Exhibitors or aisles, and must comply with the Venue’s standards and any display guidelines we issue. We may require modification or removal of any element that, in our reasonable judgment, is unsafe, non-compliant, off-brand, or inconsistent with the curated experience of the Event.
4. Fees, Payment, and Cancellation
4.1 Fees
Exhibitor agrees to pay all booth fees, sponsorship fees, marketing fees, additional service fees, applicable taxes, and any other amounts set forth in the Event’s pricing materials, order form, or invoice (collectively, “Fees”).
4.2 Deposit and Balance
Unless otherwise stated in the Event materials, a non-refundable deposit is due upon acceptance, and the balance of all Fees is due no later than the date specified on the invoice or in the Event materials. Failure to pay Fees on time may result in loss of priority placement, loss of accepted status, or denial of access to the Event, without refund of amounts already paid.
4.3 Cancellation by Exhibitor
All payments are non-refundable except as expressly set forth in this Section. Cancellations must be submitted in writing to Edit Events. Unless a different schedule is specified in the Event materials, the following cancellation policy applies:
- More than ninety (90) days before the first day of the Event: Exhibitor forfeits the deposit; any other amounts paid may be applied as a credit toward a future Edit Events show within twelve (12) months, at our discretion.
- Sixty (60) to ninety (90) days before the first day of the Event: Exhibitor forfeits fifty percent (50%) of all Fees.
- Fewer than sixty (60) days before the first day of the Event: Exhibitor forfeits one hundred percent (100%) of all Fees.
No refund or credit will be issued for no-shows, late arrivals, early departures, partial participation, or for any reason attributable to Exhibitor.
4.4 Late Payment
Past-due amounts may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law, and Exhibitor agrees to reimburse Edit Events for reasonable collection costs, including attorneys’ fees.
5. Insurance
Exhibitor shall obtain and maintain, at its sole cost and expense, throughout the term of its participation in any Event (including move-in and move-out), insurance coverage appropriate to its activities. Unless we agree otherwise in writing, this includes at minimum:
- Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 in the aggregate, covering bodily injury, property damage, and personal and advertising injury
- Workers’ compensation insurance as required by applicable law for Exhibitor’s employees
- Property insurance covering Exhibitor’s samples, fixtures, and other property
Upon request, Exhibitor shall provide a certificate of insurance naming Edit Events LLC and its affiliated brands, the Venue, and such other parties as we reasonably request, as additional insureds with respect to the Event. Edit Events and the Venue are not responsible for insuring Exhibitor’s property.
6. Installation, Show Hours, and Dismantle
Exhibitor shall comply with the move-in, show, and move-out schedules published by Edit Events for each Event. Exhibitor’s Space must be fully set up and staffed during all published show hours, and may not be dismantled, restocked through public aisles, or vacated before the official close of the Event without our prior written consent. Early dismantle disrupts buyers and other Exhibitors and may result in forfeiture of priority placement, exclusion from future Events, and a fee in an amount we determine reasonable in our discretion.
Exhibitor is responsible for removing all of its property by the dismantle deadline. Any property remaining after the deadline may be removed, stored, or discarded by Edit Events or the Venue at Exhibitor’s expense and without liability to Edit Events.
7. Exhibitor Conduct and Compliance
Exhibitor shall, and shall ensure that its personnel, agents, and guests shall:
- Conduct themselves in a professional manner consistent with the curated, high-touch experience that defines our Events
- Comply with all applicable federal, state, and local laws and regulations; the rules and requirements of the Venue; and the reasonable instructions of Edit Events staff
- Refrain from harassment, discrimination, intoxication, or other behavior that is disruptive, unsafe, or inconsistent with our community standards
- Refrain from any activity that infringes the intellectual property rights of any third party, including offering counterfeit or unauthorized goods
- Refrain from soliciting business outside the assigned Space, recruiting other Exhibitors’ staff, or otherwise interfering with other Exhibitors’ operations
Edit Events reserves the right to remove from any Event, with or without refund, any person whose conduct we determine, in our sole discretion, to be inconsistent with these Terms or the standards of the Event.
8. Booth Sharing, Subletting, and Assignment
Exhibitor shall not assign, sublet, share, license, or otherwise transfer all or any part of its Space, or any rights or obligations under this Agreement, to any third party, including a co-brand, distributor, agent, or affiliated entity, without the prior written consent of Edit Events. The unauthorized presence of a non-accepted brand or person within Exhibitor’s Space is grounds for immediate removal and forfeiture of all Fees.
9. Samples, Property, and Security
Edit Events and the Venue may provide general security at the Event but do not provide individualized security for Exhibitor property. Exhibitor is solely responsible for the security, supervision, transport, storage, and condition of its samples, merchandise, fixtures, electronics, and other property at all times. Edit Events and the Venue are not liable for, and Exhibitor releases Edit Events and the Venue from, any loss, theft, damage, or destruction of Exhibitor property, except to the extent caused by Edit Events’ gross negligence or willful misconduct.
10. Intellectual Property, Photography, and Publicity
10.1 Exhibitor IP
Exhibitor retains ownership of its brand, logos, names, designs, photography, and other intellectual property (“Exhibitor IP”). Exhibitor grants Edit Events a non-exclusive, royalty-free, worldwide, sublicensable license to use, reproduce, display, distribute, modify (for size, format, and context), and incorporate the Exhibitor IP in our marketing, promotional, editorial, social media, and archival materials (in any media, now known or later developed) related to the Event, our brands, and Edit Events. This license survives the Event.
10.2 Photography and Recording
Exhibitor acknowledges that Edit Events, its photographers, sponsors, exhibitors, press, and attendees may photograph and record (in still, audio, and video formats) at the Event, including images that depict Exhibitor’s Space, products, staff, and guests. Exhibitor grants Edit Events the perpetual, royalty-free, irrevocable right to use such images and recordings for editorial, promotional, marketing, archival, and similar purposes related to the Event and to Edit Events’ brands.
10.3 Exhibitor Photography
Exhibitor may photograph its own Space and product. Exhibitor shall not photograph or record other Exhibitors’ product, displays, or proprietary materials without their consent, and shall comply with all signage, watch-outs, or instructions issued by Edit Events, other Exhibitors, or buyers regarding photography and recording. Press and influencer activity is coordinated through Edit Events.
11. Use of Edit Events Marks
Exhibitor may identify itself as an exhibitor at the applicable Event and may use Event names, logos, and graphics that we provide to Exhibitor solely for this purpose, in accordance with any brand guidelines we issue. Exhibitor shall not register, claim, or otherwise use Edit Events’ names, marks, logos, or branding (or any confusingly similar marks or domain names) for any other purpose or in any manner that suggests endorsement, sponsorship, partnership, or affiliation beyond what has been agreed in writing.
12. Hotels, Travel, and Accommodations
Edit Events may make hotel room blocks and travel logistics available for the convenience of Exhibitors. Use of an Edit Events hotel block is subject to the policies, payment terms, and cancellation rules of the applicable hotel. Booking outside the official block does not entitle Exhibitor to any subsidy, credit, or other benefit. Exhibitor is solely responsible for its travel, accommodation, transportation, meals, and incidental expenses.
13. Food, Beverage, A/V, and Show Services
Food, beverage, audiovisual, electrical, internet, drayage, rigging, floral, and similar in-Venue services may be subject to exclusive arrangements with the Venue or designated providers. Exhibitor shall comply with all such exclusivity rules and shall order any such services through the channels designated by Edit Events or the Venue. Outside food and beverage may not be brought into the Venue except as expressly permitted.
14. Non-Exclusivity
Unless we expressly agree otherwise in a separate written sponsorship or exclusivity agreement, Exhibitor acknowledges that participation in an Event does not grant any category, geographic, or other form of exclusivity. Edit Events may accept other Exhibitors in the same category, the same Event, or other Events.
15. Indemnification
Exhibitor shall defend, indemnify, and hold harmless Edit Events LLC, its affiliated brands, and their respective officers, directors, employees, contractors, sponsors, and the Venue (collectively, the “Indemnified Parties”) from and against any and all claims, demands, losses, damages, liabilities, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Exhibitor’s products, services, displays, or activities at the Event; (b) acts or omissions of Exhibitor, its employees, agents, contractors, or guests; (c) any breach by Exhibitor of this Agreement, Venue rules, or applicable law; or (d) any claim that the Exhibitor IP or Exhibitor’s products infringe the intellectual property or other rights of any third party.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EDIT EVENTS OR ITS AFFILIATES BE LIABLE TO EXHIBITOR FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, LOST GOODWILL, OR LOST BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE TOTAL AGGREGATE LIABILITY OF EDIT EVENTS AND ITS AFFILIATES TO EXHIBITOR ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY EVENT WILL NOT EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY EXHIBITOR TO EDIT EVENTS FOR THE EVENT GIVING RISE TO THE CLAIM.
Nothing in this Agreement limits liability that cannot be limited under applicable law.
17. Force Majeure
Edit Events shall not be liable for any failure or delay in performance, or for any postponement, relocation, modification, or cancellation of an Event, that results in whole or in part from causes beyond our reasonable control, including: acts of God; severe weather, hurricane, flood, fire, or other natural disasters; war, terrorism, civil unrest, or violence; strikes, labor disputes, or contractor failures; epidemic, pandemic, or public health emergency; government order, restriction, or guidance; loss of the Venue; utility, internet, or telecommunications failure; or other similar events (each, a “Force Majeure Event”).
18. Postponement, Relocation, or Cancellation by Organizer
Edit Events may postpone, relocate, shorten, modify, or cancel any Event at any time as a result of a Force Majeure Event or as we otherwise determine reasonably necessary in our discretion to protect the safety or quality of the Event.
- Postponement or relocation: Exhibitor’s Fees will, at Edit Events’ election, be applied to the rescheduled or relocated Event without refund, or to a credit toward another Edit Events show held within twelve (12) months.
- Cancellation: If we cancel an Event in its entirety without rescheduling, Edit Events will issue a credit toward a future Edit Events show held within twelve (12) months, or, at our discretion, a partial refund of Fees after deduction of non-recoverable costs (including Venue deposits, vendor commitments, production, marketing, and staff costs).
Exhibitor agrees that the foregoing is Exhibitor’s sole and exclusive remedy for any postponement, relocation, modification, or cancellation, and Exhibitor waives any other claim for damages arising from such an event.
19. Modifications to These Terms
Edit Events may modify these Terms from time to time by posting an updated version on our website or providing written notice to Exhibitor. Modifications will apply to Events for which Exhibitor applies or registers after the effective date of the modification. Modifications will not retroactively alter the terms applicable to an Event for which Exhibitor has already been accepted and paid in full, except as required by law or as necessary to address a Force Majeure Event.
20. Governing Law and Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles. The parties agree that any dispute, claim, or controversy arising out of or relating to this Agreement or any Event shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and the parties consent to the personal jurisdiction and venue of those courts.
EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY EVENT.
21. Notices
Notices to Edit Events must be sent in writing by email to the address listed below or to such other address as we may designate from time to time. Notices to Exhibitor will be sent to the email or mailing address provided in Exhibitor’s application or on file with us. Notices are effective when delivered.

22. Entire Agreement; Severability; Survival
This Agreement constitutes the entire agreement between the parties with respect to Exhibitor’s participation in any Event and supersedes all prior or contemporaneous agreements, communications, and understandings, written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable. The provisions of these Terms that by their nature should survive (including Sections 4 (Fees), 9 (Property), 10 (IP, Photography, and Publicity), 11 (Marks), 15 (Indemnification), 16 (Limitation of Liability), 17 (Force Majeure), 18 (Cancellation by Organizer), 20 (Governing Law), and this Section 22) will survive termination, cancellation, or completion of any Event.
No failure or delay by Edit Events in exercising any right under this Agreement will operate as a waiver of that right. Exhibitor may not assign this Agreement without our prior written consent; we may assign this Agreement to an affiliate or in connection with a corporate transaction without consent.
